What is a purchase agreement?

A purchase agreement is a contract in which a seller agrees to sell and a buyer agrees to buy specific goods for a set price, on set terms. It is used for equipment, machinery, stock, vehicles with special terms and other larger private or business sales, before the goods change hands.

What is a purchase agreement?

It records the deal before completion: the price, any deposit, when and where delivery happens, how the buyer can inspect, and when ownership and risk pass. A bill of sale then records the transfer itself.

Clauses in this purchase agreement

  1. Goods: what is sold, with serial numbers and condition
  2. Price and payment: price, deposit and how the balance is paid
  3. Delivery: date, place and who pays transport
  4. Inspection: how long the buyer has to report faults
  5. Title and risk: ownership passes on full payment, risk on delivery
  6. Condition: as is, or with a warranty
  7. General: whole agreement and governing law

This template is for goods. Buying a house, land or a business needs a different agreement and usually a lawyer.

Frequently asked questions

What is the difference between a purchase agreement and a bill of sale?

A purchase agreement sets the terms before the sale is completed. A bill of sale records the transfer of ownership when the goods are handed over and paid for.

Does a purchase agreement need to be notarized?

Usually not for goods. Both parties sign and keep a copy. Some lenders or agencies may ask for notarization.

Can I use this to buy a house?

No. Real estate purchases need a specific agreement that follows state law, usually prepared by an agent or lawyer.

Is this legal advice?

No. It is a sample format to save you time. For a large amount, property or anything unusual, have a lawyer review the final text.

Is it free?

Yes. No sign up and no watermark. Download a PDF or Word file, or print it, as often as you need.

Is my information saved?
